Oh Digits provides professional bookkeeping, accounting, and related financial services. The specific services provided to you will be as agreed upon in any separate service agreement or engagement letter between you and Oh Digits.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice where applicable.

3. Client Responsibilities

As a client of Oh Digits, you agree to:

• Provide accurate, complete, and timely information and documents necessary for us to perform our services
• Notify us promptly of any changes to your business or financial circumstances that may affect our services
• Maintain the confidentiality of any account credentials or login information we provide to you
• Use our services in compliance with all applicable laws and regulations

4. Payment Terms

Fees for our services will be as outlined in your service agreement or as communicated to you prior to the commencement of services. Unless otherwise agreed:

• Invoices are due within 14 days of the invoice date
• Late payments may incur additional charges as specified in your service agreement
• We reserve the right to suspend services in the event of non-payment

5. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Oh Digits and is protected by applicable intellectual property laws. You may not reproduce, distribute, or otherwise use any of our content without our prior written consent.

6. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as required to provide our services, as authorized by you, or as required by law. Our obligations regarding your personal data are further described in our Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by law, Oh Digits shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our services. Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the services giving rise to the claim.

We do not guarantee that our services will be error-free or uninterrupted. While we strive for accuracy, we are not responsible for errors resulting from inaccurate or incomplete information provided by you.

8. Termination

Either party may terminate the service relationship by providing written notice as specified in the applicable service agreement. Upon termination:

• You remain responsible for any outstanding fees for services already rendered
• We will return or securely dispose of your confidential information in accordance with our data retention policies
• Any provisions of these terms that by their nature should survive termination shall remain in effect

9. Delivery of Services

Oh Digits provides bookkeeping and accounting services delivered remotely. Services are performed using cloud-based platforms such as Xero, Hubdoc, and other industry-standard tools. Communication and delivery of work product occurs via email, video call, and shared online workspaces.

Timelines for delivery of services are agreed upon on a per-engagement basis and outlined in your service agreement. We will make reasonable efforts to meet agreed timelines, but delivery dates are estimates and not guaranteed.

10. Refund and Cancellation Policy

Either party may cancel the service engagement by providing written notice as outlined in the applicable service agreement. Upon cancellation:

• Fees for services already rendered up to the date of cancellation are non-refundable
• Any prepaid fees for services not yet delivered will be refunded on a pro-rata basis
• We reserve the right to invoice for any work in progress at the time of cancellation

11. Governing Law
